Terms of Service

These Terms of Service ("Terms") govern your use of the Omukutu digital agricultural marketplace platform ("Platform"), operated by Omukutu ("Company", "we", "us"). These Terms apply to all users, including farmers, traders, input suppliers, extension officers, service providers, and farmer groups.

To use the Platform you must:

• Be at least 18 years of age
• Be conducting agricultural business
• Provide accurate and truthful registration information
• Have the legal authority to enter into these Terms

You are responsible for:

• Keeping your login credentials confidential
• All activities that occur under your account
• Ensuring your account information remains accurate and up to date
• Notifying us immediately of any unauthorised access at security@omukutu.ug

You may not share your account with others or create multiple accounts for the same individual or business.

You agree to use the Platform only for its intended purpose — facilitating legitimate agricultural transactions. All users must:

• Post accurate, truthful information about produce, products, and services
• Honour confirmed orders and transactions in good faith
• Treat other users with respect
• Respond to messages and inquiries in a reasonable timeframe

When you post a listing, you confirm that:

• You own or have the right to sell the produce or product listed
• The quantity, quality, and price information is accurate
• You are available to fulfil the order as described

Omukutu facilitates connections between users but is not a party to any transaction. We are not responsible for the quality, safety, or legality of items listed, or for the ability of buyers to pay or sellers to deliver.

The Platform is free to join and use. Omukutu earns a platform service fee of 5% on the value of completed transactions processed through the Platform's payment system.

All fees are deducted automatically from the seller's payment at the time of transaction settlement. Buyers pay the full listed price; the fee is deducted from the seller's share.

We reserve the right to adjust our fee structure with 30 days' notice to registered users.

You may not use the Platform to:

• Post false, misleading, or fraudulent listings
• Engage in price manipulation or collusion
• Harass, threaten, or abuse other users
• Upload viruses, malware, or harmful code
• Scrape or harvest Platform data without permission
• Impersonate another person or organisation
• Use the Platform for any illegal purpose under applicable law
• Conduct off-platform transactions to deliberately avoid Platform fees after initial contact through Omukutu

Violation of these prohibitions may result in immediate account suspension.

The Omukutu name, logo, design, and Platform code are the intellectual property of the Company. You may not copy, reproduce, or create derivative works from our materials without written permission.

Content you post (listings, messages, reviews) remains yours. By posting, you grant us a non-exclusive licence to display that content on the Platform.

The Platform is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or that listings are accurate. Use the Platform at your own risk.

To the maximum extent permitted by applicable law, Omukutu shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to losses arising from failed transactions, inaccurate listings, or disputes between users.

Our total liability to you for any direct damages shall not exceed the platform fees paid by you in the three months preceding the claim.

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion, with or without prior notice. You may close your account at any time via your account settings or by contacting support@omukutu.ug.

These Terms are governed by applicable laws. Any disputes arising from these Terms or your use of the Platform shall be subject to the relevant jurisdiction.
